By accessing, browsing, or using this website (the "Site"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and all applicable laws and regulations.

1. 501(c)(3) Non-Profit Status and Financial Disclosures
1.1 Tax-Exempt Status The Rouben Malian Memorial Foundation Inc. is a non-profit corporation organized under the laws of the State of New York. We are recognized by the Internal Revenue Service (IRS) as a tax-exempt organization under Section 501(c)(3) of the Internal Revenue Code. Contributions to the Foundation are tax-deductible to the fullest extent permitted by law in the United States.

 

1.2 No Tax Advice While the Foundation is a qualified charitable organization, the material provided on this Site regarding tax deductibility is for informational purposes only. The Foundation does not provide legal, tax, or financial advice. Tax laws vary by jurisdiction and are subject to change. We strongly encourage all donors to consult with their own qualified tax advisors or financial planners regarding the specific tax consequences of their charitable contributions.

1.3 State Solicitation and Annual Reporting A copy of our latest annual financial report may be obtained, upon request, from the Rouben Malian Memorial Foundation Inc. at 1 Rockefeller Plaza, Level 15, New York, NY 10020, or from the New York State Attorney General’s Charities Bureau, 28 Liberty Street, New York, NY 10005.

 

2. Donation Policies
2.1 Variance Power
While the Foundation strives to honor the specific intent of donors who designate their funds for specific programs (e.g., The Armenian Community Initiative or Educational Advocacy), the Foundation maintains "variance power" over all donations. This ensures that the Foundation’s Board of Directors retains the ultimate discretion and control over the use of all donated funds to ensure they are utilized effectively to further the Foundation’s exempt purposes, particularly in the event that a specific program becomes obsolete, incapable of fulfillment, or inconsistent with the Foundation’s mission.

2.2 Refund Policy As a general rule, donations to the Rouben Malian Memorial Foundation are non-refundable. This policy is in place because donated funds are often deployed immediately to procure essential supplies, support educational programs, or cover operational costs.

Administrative Errors: In the event of a proven administrative error (e.g., a duplicate transaction or incorrect amount entry), the Foundation may, at its sole discretion, consider a refund request if made within thirty (30) days of the donation. All refund requests must be submitted in writing. The decision to issue a refund rests exclusively with the Foundation’s Board of Directors.

2.3 Currency All donations processed through this Site are conducted in United States Dollars (USD), unless otherwise explicitly stated by the payment processor.

3. Intellectual Property Rights
3.1 Copyright Ownership
All content included on this Site, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of the Rouben Malian Memorial Foundation Inc. or its content suppliers and is protected by United States and international copyright laws. The compilation of all content on this Site is the exclusive property of the Foundation.

 

3.2 Trademarks "Rouben Malian Memorial Foundation," the Foundation’s logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Foundation. You must not use such marks without the prior written permission of the Foundation. All other names, logos, and marks are used for identification purposes only and are the trademarks of their respective owners.

 

3.3 Limited License The Foundation grants you a limited, non-exclusive, non-transferable, and revocable license to access and make personal use of this Site. This license does not include any resale or commercial use of this Site or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of this Site or its contents; or any use of data mining, robots, or similar data gathering and extraction tools.

4. User Conduct and Prohibitions
You agree to use the Site only for lawful purposes. You are strictly prohibited from:

  • Using the Site in any way that violates any applicable federal, state, local, or international law or regulation.

  • Engaging in conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which, as determined by us, may harm the Foundation or users of the Site.

  • Using any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site.

  • Introducing any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

  • Attempting to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.

5. Volunteer and Partner Accounts and Identity Verification

5.1 Eligibility and Account Registration

The Foundation may make available secure online accounts to approved volunteers and partners for use in connection with our programs and operations ("Authorized Accounts"). Authorized Accounts are intended solely for individuals who have been authorized by the Foundation. You may not register for or use an Authorized Account unless you have been granted access by the Foundation, and you agree to provide accurate, current, and complete information during registration and to keep that information up to date.

5.2 Telephone Verification and Carrier Checks

As a condition of registering for or accessing an Authorized Account, and to protect the security of the Foundation's systems and the personal information they contain, you agree that the Foundation may verify your identity and the mobile telephone number associated with your account using third-party verification and fraud-prevention services provided by Twilio Inc. ("Twilio") and the relevant mobile carriers. These checks may include: (a) Silent Network Authentication, confirming possession of your mobile number through the carrier network; (b) SIM Swap detection, identifying recent changes to the SIM associated with your number; (c) Reassigned Number detection, identifying whether your number has been deactivated and reassigned to a new subscriber; (d) Identity Match, confirming that the identifying details you provide are consistent with the information the carrier holds; and (e) Call Forwarding detection, identifying whether calls to your number are being diverted to another line. You represent and warrant that any mobile telephone number you provide is one that you own or are authorized to use, and you consent to these checks being performed when you submit such a number. Information collected and used in connection with these checks is handled as described in our Privacy Policy.

5.3 Account Security and Your Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your Authorized Account. You agree to notify the Foundation immediately of any unauthorized use of your account, any change to your mobile telephone number, or any other suspected breach of security. The Foundation is not liable for any loss or damage arising from your failure to comply with these obligations.

 

5.4 Suspension and Denial of Access

The Foundation may, in its sole discretion and at any time, require additional verification, or decline, suspend, limit, or revoke access to an Authorized Account — including where the verification checks described above indicate a possible security risk, account compromise, or inaccurate or unverifiable information. Where telephone-based verification is unavailable or you decline to undergo it, the Foundation may offer an alternative method of verification where available, but is not obligated to provide access by any other means.

5.5 No Warranty Regarding Verification

THE IDENTITY-VERIFICATION AND ACCOUNT-SECURITY MEASURES DESCRIBED IN THIS SECTION ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND ARE INTENDED TO REDUCE, BUT CANNOT ELIMINATE, THE RISK OF UNAUTHORIZED ACCESS OR FRAUD. THE FOUNDATION DOES NOT WARRANT THAT THESE MEASURES WILL DETECT OR PREVENT ALL FRAUDULENT, UNAUTHORIZED, OR MALICIOUS ACTIVITY, AND THE LIMITATIONS OF LIABILITY SET FORTH IN SECTION 7 APPLY TO THEM IN FULL.

6. Disclaimers and Limitation of Liability
6.1 Disclaimer of Warranties
THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE FOUNDATION DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF TITLE, MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. THE FOUNDATION DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

All matters relating to the Site and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of New York without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York located in the City of New York.

The Rouben Malian Memorial Foundation reserves the right, in its sole discretion, to change the Terms under which this Site is offered. The most current version of the Terms will supersede all previous versions. The Foundation encourages you to periodically review the Terms to stay informed of our updates.
